Agreement
These Terms of Service (“Terms”) govern your access to and use of the Aestrable website (the “Site”) and, where applicable, Aestrable platform services made available to partner clinics under separate ordering documents or partnership agreements (“Platform Agreement”). If you are using the Site only, these Terms apply. If you are a clinic or authorized user accessing the platform under a Platform Agreement, these Terms apply to the extent they are incorporated there and to the extent they do not conflict with the Platform Agreement (in case of conflict, the Platform Agreement controls for platform use).
Not a public self-serve SaaS signup
Aestrable is not a public self-serve SaaS signup platform offering instant open registration to the general public. Platform access is provided through direct partnership arrangements with clinics and qualified organizations. We may refuse service, invitations, or partnerships at our discretion.
Permitted use of the Site
You may use the Site for lawful business purposes, including to learn about Aestrable and initiate a partnership conversation. You agree not to misuse the Site, attempt to interfere with its operation, attempt unauthorized access, or use automated means in a way that burdens the Site without permission.
Clinic responsibilities
Partner clinics are responsible for their own legal compliance, including obligations related to healthcare privacy, professional licensing, marketing, telehealth, communications consent, and their relationships with patients and clients. Clinics are responsible for obtaining appropriate consents, providing required notices, and using the platform in a manner consistent with applicable law and their internal policies. Aestrable does not provide legal, medical, or clinical advice.
SMS consent
Where clinics use Aestrable for SMS messaging, clinics must comply with applicable consent, disclosure, and registry rules. End users who provide a phone number may receive SMS messages from Aestrable-powered clinics as configured by the clinic. Message frequency varies. Message and data rates may apply. Reply STOP to opt out where supported and reply HELP for help, or contact the clinic for assistance.
Platform fees and partnership model
Commercial terms—including any platform-based partnership fees—are set forth in the applicable Platform Agreement. Marketing materials on the Site are summaries only and do not amend signed agreements.
Intellectual property
The Site and platform contain proprietary materials owned by Aestrable or our licensors. Except for limited rights necessary to use the Site as offered, no rights are granted by implication.
Disclaimer of warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AESTRABLE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AESTRABLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED. AESTRABLE’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITE (OUTSIDE OF AN APPLICABLE PLATFORM AGREEMENT) SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS (USD $100) OR THE AMOUNTS YOU PAID AESTRABLE SPECIFICALLY FOR SITE-RELATED SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, IF ANY.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Aestrable and its affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of third-party rights—except to the extent caused by Aestrable’s willful misconduct.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts in Delaware shall have exclusive jurisdiction over disputes arising from these Terms related to the Site, subject to any different exclusive forum provision in an applicable Platform Agreement for platform disputes.
Changes
We may modify these Terms from time to time. We will update the “Last updated” date when we do. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms, except where prohibited by law.
